Terms of Service — Mortgage Nerd Academy
1. Who We Are and What These Terms Cover
Mortgage Nerd Academy ("Mortgage Nerd Academy," "the Academy," "we," "us," or "our") is an online coaching and education membership operated by Nerd Group LLC, a Texas limited liability company located at 2550 E State Hwy 121, Building 5, Lewisville, TX 75056.
These Terms of Service ("Terms") govern your access to and use of the website at mortgagenerdacademy.com, our membership content, our coaching sessions, our AI-assisted tools, and any related services (together, the "Services").
By creating an account, subscribing, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Services.
2. Eligibility
The Services are intended for professional use by individuals who are at least 18 years old and who have the legal capacity to enter into a contract. By using the Services, you represent that you meet these requirements. The Services are designed for mortgage and lending professionals and are not directed to consumers seeking a mortgage or to anyone under 18.
3. What Your Membership Includes
Mortgage Nerd Academy offers different membership levels. Depending on the tier you select at checkout, your membership may include:
- Access to the online content library and lesson vault;
- Downloadable marketing materials, scripts, presentations, calculators, and other copy-and-use business assets;
- Live group coaching sessions delivered by video conference;
- AI-assisted tools (including "Nerd CHAT"); and
- Other features described on the membership or pricing pages at the time you subscribe.
The specific features available at each tier, and their prices, are described on the membership pages and may change over time. We may add, modify, or discontinue features, content, or sessions at our discretion; where a change is material and adverse to a current paid member, we will make reasonable efforts to provide advance notice.
4. Accounts and Account Security
To access members-only areas you must create an account. You agree to provide accurate information and to keep it current. You are responsible for safeguarding your login credentials and for all activity under your account.
Your membership is personal to you. You may not share your login, transfer your account, or provide access to the members-only areas or their contents to any other person. Access is licensed to a single named user. We may suspend or terminate accounts that appear to be shared, resold, or used by more than one person, and we may use reasonable technical measures to detect credential sharing.
Notify us promptly at support@mortgagenerdacademy.com if you believe your account has been accessed without authorization.
4a. Your Acknowledgment at Sign-Up
When you create your account, we ask you to confirm the acknowledgment below (also displayed on the sign-up screen). By creating your account, you acknowledge and agree that:
- Your login is for you alone. You may not share it with any other loan officer, real estate agent, assistant, or anyone else.
- You are responsible for keeping your login private and for all activity under your account.
- All content inside the Academy is our intellectual property, licensed to you for use in your own business — not to share or resell to non-members.
- The Academy is continually growing; we regularly improve the content, tools, and coaching, and while we work to keep everything running smoothly, we cannot guarantee that the Services will always be uninterrupted or error-free. If you run into a bug or have feedback on how we can get better, we welcome you to contact us at support@mortgagenerdacademy.com.
- We may suspend or close accounts we find to be shared or misused.
Your agreement to this acknowledgment at sign-up, together with your continued use of the Services, confirms your acceptance of these Terms. The account-security and license terms in Sections 4 and 7 and the disclaimers in Sections 12–13 govern in full.
5. Fees, Billing, and Automatic Renewal
Subscription model. Paid memberships are billed on a recurring monthly basis at the price shown at checkout. Payments are processed by our third-party payment processor, Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method the applicable recurring fee, plus any applicable taxes, on each billing cycle.
Automatic renewal — please read. Your membership renews automatically each month until you cancel. Unless and until you cancel, you authorize recurring charges to your payment method at the then-current price for your tier at the start of each billing period. You consent to receive renewal charges without further notice except where required by law.
Price changes. We may change subscription prices. If we change the price of your membership, we will give you advance notice, and the new price will apply to your next billing cycle after the notice period. Continuing your membership after a price change takes effect constitutes acceptance of the new price.
Failed payments. If a charge fails, we may retry the charge and may suspend or downgrade access until payment is successful. You are responsible for keeping a valid payment method on file.
Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable sales, use, or similar taxes.
6. Cancellation and Refunds
How to cancel. You may cancel your membership at any time through the self-service billing portal in your account (powered by Stripe) or by contacting support@mortgagenerdacademy.com. Cancellation stops future charges.
What happens when you cancel. When you cancel, your membership remains active through the end of the billing period you have already paid for, and it will not renew after that. You will retain access to your tier's features until the end of that paid period, after which access ends.
Refunds. Payments are non-refundable, including for partial billing periods. Because you can cancel at any time to prevent future charges and you keep access through the end of each paid period, we do not provide refunds or credits for partial months, unused access, or content you did not use, except where required by law.
7. License to Use the Content — and What You May Not Do
Our content is proprietary. All materials made available through the Services — including lessons, videos, written guides, scripts, templates, presentations, calculators, frameworks, the "Nerd" branding, logos, and the overall design and organization of the content library — are owned by us or our licensors and are protected by copyright, trademark, and other laws.
Your license. Subject to your active paid membership and your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the content for your own professional use. This license expressly includes the right to adapt and use the copy-and-use marketing materials, scripts, and templates in your own mortgage-lending business — that's what they're for.
What you may not do. You may not:
- Copy, republish, distribute, sell, license, or otherwise make the Academy's content or the members-only materials available to any person who is not a paying member — including by posting them publicly, sharing them in groups, or bundling them into your own paid product or coaching offer;
- Share your account or login, or let others access members-only areas through your account;
- Reproduce or resell the content library, lessons, or vault as a whole or in substantial part;
- Remove or alter any copyright, trademark, or proprietary notices; or
- Use automated tools to scrape, download in bulk, or systematically extract the content.
The line is simple: use the marketing assets to grow your own business — yes; hand our program's content to non-members — no. This license ends when your membership ends, except that marketing assets you have already legitimately put into use in your own business may remain in use.
8. Acceptable Use
You agree not to use the Services to: violate any law or regulation; infringe anyone's intellectual property or privacy; upload malicious code; harass, threaten, or defame others; misrepresent your identity; or interfere with the operation or security of the Services. We may investigate and take appropriate action, including suspension or termination, for conduct that violates these Terms.
9. Live Coaching and Community Interactions
Where your tier includes live coaching, sessions are held live by video conference (for example, Zoom) and are recorded. By attending, you consent to being recorded. Recordings are made available to members within the Services so you can watch them afterward. Coaching sessions and their recordings are for members only — you may not share, repost, download for redistribution, or otherwise provide session content or recordings to anyone outside the membership. Please participate respectfully and professionally.
10. AI-Assisted Tools (Nerd CHAT)
Some features use artificial intelligence to generate responses ("AI Tools," including "Nerd CHAT"). AI Tools are provided to assist and educate. AI-generated output may be inaccurate, incomplete, or not suited to your situation, and it is not a substitute for professional judgment. You are responsible for reviewing and verifying any output before relying on or acting on it.
AI Tools are subject to the disclaimers in Section 12. Your inputs to AI Tools are processed as described in our Privacy Policy. Do not enter sensitive personal information, borrower personal information, or confidential third-party data into AI Tools.
11. Third-Party Services and Links
The Services rely on and may link to third-party services (for example, payment, video, and email providers). We are not responsible for the content, terms, or practices of third parties. Your use of a third-party service is governed by that party's own terms and privacy policy.
12. Educational Purpose; No Professional Advice; No Guarantee of Results
Read this carefully — it defines what the Academy is and is not.
Coaching and education only. Mortgage Nerd Academy provides business coaching, training, and marketing education for lending professionals. We are not your attorney, accountant, financial advisor, compliance officer, or regulator, and nothing in the Services is legal, tax, accounting, financial, investment, or regulatory-compliance advice.
You remain responsible for compliance. You are solely responsible for complying with all laws, regulations, licensing obligations, and the policies of your employer, sponsor, and any regulators that apply to you and your business. Before using any script, marketing material, or strategy from the Services, you are responsible for confirming it complies with the rules that govern you.
No guarantee of results or income. Coaching outcomes depend on many factors outside our control, including your effort, market conditions, and your individual business. We do not guarantee any specific result, level of production, income, or success. Any results, loan volumes, earnings, or testimonials referenced anywhere in our marketing or content reflect specific individuals' experiences and are not typical, promised, or a guarantee of what you will achieve.
13. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that content will be accurate or complete. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.
14. Limitation of Liability
To the fullest extent permitted by law, Nerd Group LLC and its owners, members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost business, lost data, or lost goodwill, arising out of or relating to the Services, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Services will not exceed the total amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless Nerd Group LLC and its owners, members, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of any law, or your infringement of any third party's rights — including any claim arising from marketing materials or strategies you deploy in your own business.
16. Termination
You may stop using the Services and cancel your membership at any time as described in Section 6. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Services or other members. On termination, your license to the content ends as described in Section 7, and Sections that by their nature should survive (including Sections 7, 12–15, and 17) will survive.
17. Governing Law and Dispute Resolution
Governing law. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
Binding arbitration; class-action waiver. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court — except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property or confidential information. You and we waive any right to a jury trial and any right to participate in a class action or class arbitration. You may opt out of this arbitration agreement by emailing support@mortgagenerdacademy.com within 30 days of first accepting these Terms; opting out will not affect any other part of these Terms.
Venue for non-arbitrable matters. For any claim not subject to arbitration (including small-claims and injunctive-relief actions), you agree to the exclusive jurisdiction and venue of the state and federal courts located in Denton County, Texas.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "Last Updated" date and, for material changes, provide reasonable notice (for example, by email or an in-app notice). Your continued use of the Services after changes take effect means you accept the updated Terms.
19. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
